Good faith in commercial relationships

(Supreme Court of Canada’s decision in Bhasin v Hrynew)

Do you own a business or franchise? Do you frequently enter into contracts with other commercial parties, including suppliers and contractors?

In Bhasin v Hrynew, the Supreme Court of Canada (SCC) established a general obligation of good faith in the performance of contracts and a duty of “honest performance”, which applies to all contracts and requires parties to act honestly with one another in relation to the performance of their contractual obligations. The SCC's decision was greatly anticipated and its impact was recognized immediately; however, the decision leaves much to consider in terms of the contexts in which the duty of honesty will apply, its minimum requirements, and what is expected of the parties.

Rahool Agarwal is a litigation partner in the Toronto office of Norton Rose Fulbright Canada LLP.  Rahool’s practice focuses on complex corporate and commercial litigation, including contractual disputes, shareholder disputes, class actions, defamation claims and injunctions.  He also has extensive experience in constitutional law and public law.  Rahool has appeared before all levels of court in Ontario, the Quebec Court of Appeal, the BC Court of Appeal and has argued four cases in the Supreme Court of Canada.  In 2011, Mr. Agarwal was named “Young Practitioner of the Year” by the South Asian Bar Association of Toronto, and in 2013 he was awarded a “Precedent Setter Award” by the legal publication Precedent.
